These Terms of Service govern your access to and use of the DEWIN website, products, and related services. Please read them carefully before using this site.

1. Acceptance of Terms
By accessing or using the DEWIN website ("Site"), requesting a quotation, placing an order, or otherwise engaging with our products or services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must discontinue use of the Site and refrain from engaging in any transaction with us.
2. Eligibility and Business Use
This Site is intended primarily for business-to-business use by purchasing managers, sourcing directors, category buyers, distributors, retailers, and trading companies. By using the Site, you represent that you are at least 18 years of age and have the legal authority to enter into binding commercial agreements on behalf of the organization you represent.
3. Products and Services
DEWIN manufactures ratchet buckles, hooks, and finished ratchet tie-down strap assemblies, and offers OEM/ODM manufacturing services supported by webbing and injection-molding partners. Product descriptions, specifications, images, and pricing on this Site are provided for general informational purposes and are subject to change without prior notice.
- Product specifications, including Working Load Limit (WLL) and Break Strength, are provided based on internal and third-party testing where applicable.
- Test reports and compliance documentation referencing WSTDA standards may be provided upon written request through our Contact page.
- Colors, packaging, and minor design details may vary slightly from photographs shown on the Site.
4. Orders, Pricing, and Payment
All quotations issued by DEWIN, whether EXW or FOB, are denominated in USD unless otherwise agreed in writing and are valid only for the period stated in the quotation. Placing an order does not guarantee acceptance; all orders are subject to confirmation, production capacity, and raw material availability at the time of order.
- Tiered pricing, where offered, is based on order quantity and applies only to the specific order to which it was quoted.
- Payment terms, deposit requirements, and balance schedules will be confirmed in a separate proforma invoice or sales contract.
- DEWIN reserves the right to adjust pricing for future orders in response to material cost or tariff changes, with reasonable advance notice.
5. OEM/ODM and Customization
DEWIN supports customization of size, color, hook type, logo, and packaging for private-label buyers, including small-batch sampling where feasible. Customization requests, sample lead times, and tooling or setup costs (if any) will be confirmed on a case-by-case basis before production begins. Approved samples serve as the production reference standard unless otherwise agreed in writing.
6. Shipping and Delivery
Estimated lead times and delivery dates provided by DEWIN are good-faith estimates and not guaranteed delivery dates unless expressly stated in a signed sales contract. DEWIN is not responsible for delays caused by customs clearance, carrier performance, force majeure events, or other circumstances beyond its reasonable control. Risk of loss transfers according to the shipping terms (EXW, FOB, or other) specified in the applicable order confirmation.
7. Intellectual Property
All content on this Site, including text, graphics, logos, product designs, and images, is the property of DEWIN or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without prior written permission. For private-label customers, trademarks and branding materials supplied by the buyer remain the property of the buyer and are used solely for the purpose of fulfilling the buyer's order.
8. Warranties and Disclaimers
DEWIN warrants that products delivered will substantially conform to the agreed specifications at the time of shipment. Except as expressly stated in a signed sales contract, all products and services are provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
9. Limitation of Liability
To the maximum extent permitted by law, DEWIN shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of this Site or the purchase of products, including but not limited to lost profits, lost business, or supply chain disruption. DEWIN's total aggregate liability for any claim arising from a specific order shall not exceed the total amount paid by the buyer for that order.
10. Indemnification
You agree to indemnify and hold DEWIN, its officers, employees, and affiliates harmless from any claims, damages, liabilities, and expenses arising from your misuse of the Site, violation of these Terms, or infringement of any third-party rights in connection with materials, trademarks, or specifications you supply for customization.
11. Acceptable Use of Website
When using this Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable regulation.
- Attempt to gain unauthorized access to Site systems, servers, or data.
- Copy, scrape, or reproduce Site content for competitive commercial use without permission.
- Submit false, misleading, or fraudulent information in inquiries or orders.
12. Termination
DEWIN reserves the right to suspend or terminate access to the Site, or decline to process any inquiry or order, at its discretion, including in cases of suspected fraud, non-payment, or violation of these Terms. Termination of Site access does not affect obligations under any existing signed sales contract.
13. Governing Law and Disputes
These Terms are governed by the laws applicable in the jurisdiction where DEWIN is headquartered, without regard to conflict-of-law principles. Any dispute arising from these Terms or from a specific transaction shall first be addressed through good-faith negotiation between the parties before pursuing formal dispute resolution as specified in the applicable sales contract.
14. Changes to These Terms
DEWIN may revise these Terms from time to time. Any changes become effective upon posting to this page, and the "Effective Date" at the top of this page will be updated accordingly. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
